Subscription Contract for Wetarseel

These Subscription Terms and Conditions (“Terms”) govern the access to and use of the software and services (collectively, the “Service”) provided by WeTarseel. The Customer acknowledges and agrees to be bound by the terms and conditions of WeTarseel, WhatsApp Business Policy, and Meta Platform Terms as they may be amended from time to time, which can be accessed at WhatsApp Policy and Meta Platform Terms. The Customer understands that these policies govern the Customer’s use of WhatsApp Business, Facebook Messenger, and Instagram messaging services in connection with this Agreement.

Terms and Conditions

1. Acceptance of Terms

By accessing or using the Service, the Subscriber agrees to be bound by these Terms. If the Subscriber does not agree to these Terms, they should not use the Service.

2. Subscription and Access

WeTarseel grants the Subscriber a non-exclusive, non-transferable license to access and use the Service in accordance with the subscription plan selected. This license is limited to the Subscriber’s internal business use and cannot be transferred, resold, or shared with third parties without WeTarseel’s prior written consent. The Service includes integration with WhatsApp Business API, Facebook Messenger API, and Instagram Messaging API to facilitate multi-channel communication.

3. Fees and Payment

Subscription fees are payable in advance. All fees are non-refundable unless otherwise specified in these Terms.
Subscriber shall pay the monthly subscription fee on or before the first day of each month. Payments will be made via account transfer.
Failure to make timely payments may result in suspension or termination of the Subscriber’s access to the Service.

4. Term and Renewal

The initial term of the subscription begins upon the Subscriber’s registration and payment and continues for the duration selected in the subscription plan.
Subscriptions automatically renew for additional terms of the same duration unless the Subscriber provides WeTarseel with written notice of non-renewal at least 30 days prior to the end of the current term.
If Subscriber chooses to terminate the contract before the end of the subscription term, no refunds will be provided for the remaining period.

5. Termination

Either party may terminate the subscription with 30 days’ written notice to the other.
WeTarseel reserves the right to suspend or terminate the Subscriber’s access immediately if the Subscriber fails to comply with any material term of these Terms.
Upon termination, the Subscriber’s access to the Service will cease, and any unused fees are non-refundable.

6. Data Privacy and Security

WeTarseel implements reasonable security measures to protect the Subscriber’s data within the Service.
The Subscriber retains ownership of all data uploaded to the Service. WeTarseel will only access or use the Subscriber’s data as necessary to provide the Service.
For Meta Messenger integrations (Facebook and Instagram), message data is processed in accordance with Meta’s Data Processing Terms and is used solely for providing messaging functionality through our platform.

7. Meta policy

As a Meta Business Solution Partner, WeTarseel provides integration with Facebook Messenger API and Instagram Messaging API. By using these integrations, the Subscriber acknowledges and agrees to:
Comply with Meta’s Platform Terms, Developer Policies, and Community Standards
Ensure proper consent is obtained before processing customer messages through Meta platforms
Use messaging capabilities only for legitimate business communication purposes
Respect user privacy and Meta’s data usage policies
Not use the integration for spam, harassment, or any prohibited activities as defined by Meta

8. Confidentiality

Both WeTarseel and the Subscriber agree to maintain the confidentiality of each other’s proprietary information accessed in connection with the Service. This obligation of confidentiality continues even after termination of the subscription.
All confidential information that is communicated to and obtained by the Company from the Customer in connection with performing the above-mentioned services shall be held by the Company in full trust.

9. Limitation of Liability

WeTarseel is not liable for any indirect, incidental, special, or consequential damages (including loss of data or profits) arising from the use or inability to use the Service.
WeTarseel’s total liability for any claim related to these Terms or the Service will not exceed the amount paid by the Subscriber in the month preceding the claim.
WeTarseel is not responsible for any disruptions, limitations, or changes to Meta platform services (Facebook Messenger, Instagram, WhatsApp) that may affect the functionality of our integrations.

10. Compliance and Acceptable Use

The Subscriber agrees to use the Service in compliance with all applicable laws and regulations.
The Subscriber will not use the Service to transmit prohibited content, spam, or any material that violates applicable laws or third-party rights.
When using Meta Messenger integrations, the Subscriber must comply with Meta’s Platform Policies, Community Standards, and Messenger Platform Policy.
The Subscriber is responsible for obtaining proper consent from end users before engaging in messaging through Facebook Messenger or Instagram Direct Messages.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of United Arab Emirates.

12. Prohibited Organizations & Use

We prohibit organizations and/or individuals engaged in terrorist or organized criminal activity from using the WhatsApp Business Services, Facebook Messenger API, or Instagram Messaging API. The following uses are prohibited:

Facilitating or organizing criminal activity, including harm to people, businesses, or animals.
Exchanging illegal products or services, such as firearms, alcohol, drugs, hazardous materials, or regulated goods.
Operating or promoting services including real-money gambling, payday loans, multi-level marketing, and adult products.
Discrimination or content promoting personal characteristics bias.
Sending unsolicited messages or spam through any Meta platform integration.
Violating Meta’s Community Standards or Platform Policies in any messaging interaction.

12. Proprietary Rights

Ownership: The Company reserves all rights, titles, and interests in any services, software, applications, or technology developed in connection with the Services.
Intellectual Property: All modifications, upgrades, and intellectual property rights in connection with the Service remain with WeTarseel.
Logo Usage: By subscribing, you grant us a license to use your company logo for marketing and promotional purposes.
Meta Integration: Use of Meta platform integrations (Facebook Messenger, Instagram, WhatsApp) is subject to Meta’s terms and does not grant any rights to Meta’s intellectual property.

13. Miscellaneous

Entire Agreement: This Contract constitutes the entire agreement and supersedes all prior agreements or understandings.
Amendments: WeTarseel reserves the right to modify these Terms at any time.
Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
Assignment: Neither party may assign rights or obligations without prior consent.
